Terms of Service

These Terms of Service ("Terms") govern your use of The Exchange (the "Service"), operated by Obsidian River LLC ("The Exchange", "we", "us"), based in Tuscaloosa, Alabama, USA. By using the Service, you agree to these Terms.

What The Exchange does

The Exchange is a free listing service for private individuals who want to sell a personal-use vehicle. You provide us with information about your vehicle through a short SMS conversation with our AI agent Riley. We share that listing with a network of licensed reseller-buyers who may then contact you directly to make an offer. The Exchange is not a dealer, does not purchase vehicles, does not take possession of vehicles, and does not broker title transfers. We simply connect you with interested buyers.

SMS messaging program ("The Exchange Listings")

Program name: The Exchange Listings

Description: A two-way SMS conversation between you and The Exchange's AI assistant for the purpose of collecting your vehicle listing details. All messages are part of a single intake conversation initiated by you.

Message frequency: Messages are sent only while your intake conversation is active — typically 5 to 15 messages over 5 to 30 minutes. We do not send unsolicited marketing messages. Once your intake is complete, we stop messaging you unless you initiate a new conversation.

Message and data rates: Standard message and data rates from your mobile carrier may apply.

How to opt out: Reply STOP, CANCEL, UNSUBSCRIBE, END, or QUIT to any message. You will receive one confirmation message and no further messages after that.

Supported carriers: All major U.S. carriers. Carriers are not liable for delayed or undelivered messages.

Eligibility

You must be at least 18 years old and a resident of the United States to use The Exchange. You represent that you are the legal owner of the vehicle you list, or that you are authorized to list it on behalf of the legal owner.

Accuracy of listings

You are responsible for the accuracy of the vehicle information you provide. Misrepresenting material facts (title status, mileage, accident history, mechanical condition) may cause reseller-buyers to walk away from offers and may expose you to liability from buyers. The Exchange does not independently verify the details you provide.

No warranty on offers

The Exchange connects you with reseller-buyers but does not guarantee that you will receive offers, that offers will meet your asking price, or that any particular transaction will close. Offers, negotiations, and the final sale are entirely between you and the buyer. The Exchange is not a party to your transaction.

Costs

Using The Exchange as a seller is free. We do not charge you a listing fee, a commission on your sale, or any other fees. We earn revenue by charging reseller-buyers for access to listings. Standard SMS and data rates from your mobile carrier may still apply.

Reseller access fees and refunds

Reseller-buyers pay a per-listing access fee at the time of claim. Current pricing is $125 for exclusive access (one buyer, 24-hour sole-contact window) or $50 for non-exclusive access (shared with up to three buyers). Fees are charged in USD through Stripe, and a receipt is emailed to the billing contact on file.

Access fees purchase the right to contact the seller about their specific listing. They are not a guarantee that the sale will close, that the vehicle matches the seller's description, or that the seller will respond within a particular timeframe.

Automatic refunds. If two buyers simultaneously claim an exclusive listing and one loses the race at payment time, The Exchange automatically issues a full refund to the losing buyer. Refunds typically appear on the original card within 5-10 business days depending on the issuing bank.

Requested refunds. A reseller-buyer may request a full refund within 7 days of claim by emailing hello@theexchangehq.com with the listing ID and a short reason. We will review and issue refunds at our discretion in cases of duplicate charges, material misrepresentation by the seller, or verified fraud. We will not issue refunds for buyer's remorse after the seller has been contacted, for stale or already-sold listings the buyer claimed after listing expiry, or for disputes about the vehicle's actual condition (which are between buyer and seller).

Chargebacks. If a buyer files a chargeback with their card issuer rather than contacting us first, we reserve the right to suspend their account pending resolution and to recover any chargeback fees from the buyer's future claims.

Reseller network

The Exchange's reseller-buyers are independent businesses. They agree to The Exchange's reseller terms, which restrict their use of your information to contacting you about your specific vehicle. However, The Exchange is not responsible for a reseller's conduct after they receive your listing. If a reseller contacts you inappropriately, email us at hello@theexchangehq.com and we will remove them from the network.

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms. You may stop using the Service at any time by replying STOP to our SMS messages.

Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, either express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement. The Exchange does not warrant that the Service will be uninterrupted, error-free, or secure.

Limitation of liability

To the maximum extent permitted by law, Obsidian River LLC and its affiliates, officers, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service, including without limitation any damages arising from a transaction with a reseller-buyer. Our total aggregate liability will not exceed one hundred U.S. dollars ($100).

Governing law

These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of state and federal courts located in Tuscaloosa County, Alabama for any dispute arising out of these Terms or the Service.

Changes to these Terms

We may update these Terms from time to time. We'll post the new version here with a revised "Last updated" date. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
